ELIGIBILITY: The Tatiana x Summer for the City Sweepstakes (“Sweepstakes”) is open only to legal U.S. residents (excluding Rhode Island, Puerto Rico, Guam, the Virgin Islands and other United States territories) with proof of residency who have reached 18 years of age or older as of the date of entry. Void outside listed locations and where prohibited. Employees of Lincoln Center for the Performing Arts, Inc. (“Lincoln Center” or the “Sponsor”), Tatiana by Kwame Onwuachi (“Tatiana”), and Second to None NYC LLC. (the “Administrator”), and each of their subsidiaries, affiliates, distributors, and advertising and promotion agencies, and such employees’ immediate family and household members (whether related or not) are not eligible to enter or win. The Sweepstakes is not open to residents of Rhode Island and U.S. territories and is void in such territories as well as where prohibited by law. Sponsor reserves the right to verify eligibility qualifications of winner. Sponsor’s decision regarding this Sweepstakes and all decisions thereunder are final and binding.

1. HOW TO ENTER: The entry period for the Sweepstakes begins at 07/29/24 and ends at 08/04/24. (the “Entry Period”). To enter the Sweepstakes, during the Entry Period eligible entrants may access www.Instagram.com (“Instagram”) where there will be a social post describing the Sweepstakes. Eligible entrants must follow the social accounts of both Tatiana (@Tatianabychefkwame) and Lincoln Center (@lincolncenter); and comment with a “tag” of a friend and mention entrant’s favorite aspect of Lincoln Center’s Summer for the City Festival.

Proof of submission does not constitute proof of entry. Entry times will be determined using Administrator’s computer, which will be the official clock for the Sweepstakes. Limit: One (1) Sweepstakes entry per person/social media handle during the entire Entry Period. Entries must contain all information requested and comply with any applicable restrictions or requirements set forth herein to be valid. Entrants may be required to affirmatively agree to these Official Rules to receive an entry into the Sweepstakes. Individuals who do not follow all of the instructions, provide the required information in their registration form, and/or abide by these Official Rules or other instructions of the Sponsor may be disqualified. Other entry methods than those outlined above are void and will not receive entry.

Automated entries are prohibited, and any use of automated devices will cause disqualification. Additional entries from any one person or social media handle in excess of the stated limitation will be void. In the event of a dispute regarding any entry, the entry will be deemed made by the authorized account holder of the social media handle submitted at the time of entry (i.e., the natural person who is assigned to a social media profile by a social media platform, on-line service provider or other organization responsible for assigning social media profiles for the domain associated with the submitted social media platform).

2. WINNER SELECTION/ODDS: One potential Prize winner (the “Winner”) will be selected in a random drawing conducted by the Administrator or its delegate on or about 07/29/24 from among all eligible entries received. Odds of winning depend on the number of eligible entries received. The potential Winner is subject to verification, including verification of age and residency. On or around 08/05/24, the potential Winner will be notified by direct message through the social media platform used during registration/entry. Potential Winner must respond to such notification, acknowledging receipt, within twenty-four (24) hours.

The potential Winner will be required to return to the Administrator or its delegate, within twenty-four (24) hours of the date of such notification, information including full legal name and contact information, Declaration of Eligibility, all information required for tax reporting, as applicable, per Section 4 herein, and any other requested documents, in order to claim their prize.

If potential Winner is not eligible or not in compliance with these Official Rules, if attempted notification is returned as undeliverable, if potential Winner does not acknowledge receipt within the timeline provided, if any required documents/information are not returned within the required timeframe, if winner cannot be verified, if any prize is returned as undelivered, or if winner is otherwise unable or unwilling to accept and claim the prize as stated (including any portion thereof), then Winner may be disqualified and the prize may be forfeited in Sponsor’s sole discretion. Potential Winner must continue to comply with all terms and conditions of these Official Rules, and receiving a prize is contingent upon fulfilling all requirements through the time of prize awarding/accommodating.

3. PRIZE: Three (3) Prizes (“Prize”) will be offered in the Sweepstakes to three (3) verified Sweepstakes winner. The Prize consists of the following: A reservation at Tatiana by Kwame Onwuachi for two (2) guests on 08/09/24 at 5:30pm; $250 voucher for Tatiana by Kwame Onwuachi (gratuity not included), two (2) tickets for performances at Summer for the City at Lincoln Center scheduled for 08/09/24 at 8:00 pm. Lincoln Center programming is based on availability and may be subject to change. Final awarded reservation times are subject to availability at time of confirmation and shall be at the sole discretion of Sponsor; change requests to the awarded reservation shall not be guaranteed. Approximate Retail Value (“ARV”) of Prize is $250. Any difference between ARV and actual value will not be awarded.

If for any reason the Winner does not confirm their Prize within twenty-four (24) hours of the date on such notification, the Prize in its entirety shall be forfeited and the Sponsor shall have no further liability to the Winner. All expenses and costs associated with the acceptance or use of any prize that are not expressly specified in these Official Rules as being part of the Prize are the sole responsibility of the Winner, including without limitation airfare or other transportation to and from Lincoln Center, ground transportation, other meals, taxes, gratuities, parking, and transportation, any other personal expenses, and any other incidental costs or expenses.

The Prize is non-transferable, non-refundable, non-negotiable for cash, may not be resold, and cannot be used as partial payment toward a reservation other than the designated date or any other programming.

All Prize details will be determined by the Sponsor in its discretion. The Prize consists only of those items expressly specified in these Official Rules as being part of the Prize. No substitution of the Prize or any component thereof is permitted, except in the discretion of the Sponsor, which reserve the right to substitute a prize or prize component (for any reason, including if something becomes unavailable) of equal or greater value. The Prize will only be awarded if properly claimed. Prize will be awarded only to a Winner with a residential address within the United States or D.C., excluding Rhode Island. Winner will be solely responsible for all applicable Federal, State, and local taxes connected with receipt of Prize, the use and enjoyment of Prize, or any other connection with this Sweepstakes. As a condition of accepting the Prize, Winner agrees to furnish to Sponsor any requested information needed for tax reporting and understands that such information must be received by Sponsor before or at the time any Prize is issued to or booked on behalf of such Winner. Winner will receive an IRS Form 1099 for the value of the awarded Prize.

ENTRANT’S PERSONAL INFORMATION: By entering, Entrant expressly consents and agrees that Sponsor will have the right to process, store, disclose and otherwise use all personal information provided to the Sponsor in connection with this Sweepstakes as set forth in Sponsor’s privacy policies. Such personal information may include each Entrant’s name, address, telephone number and email address. Please see the privacy policies located at http://www.lincolncenter.org, for details of Sponsor’s policies regarding the use of personal information collected in connection with this Sweepstakes, including Administrator’s use of the personal information in order to administer the Sweepstakes. If you are selected as a winner, your information may also be included in a publicly-available winner’s listing.

5. PUBLICITY: Except where prohibited by law, Winner grants (and agrees to confirm this grant in writing, if requested) permission for Sponsor and those acting under their authority to use the Winner’s voice, image, biographical information, name, photograph, and/or likeness, for advertising and/or publicity purposes in any and all media now known or hereinafter invented without territorial or time limitations and without compensation.

GENERAL RULES AND LIMITATION OF LIABILITY: Sponsor, Tatiana, and Administrator, and each of their respective parent companies, affiliates, subsidiaries, distributors and advertising, promotion and Internet agencies (including Instagram), and each of the foregoing party’s successors, assigns and agents, directors, officers and employees (collectively, the “Released Parties”) are not responsible for, and will have no liability for, late, lost, delayed, illegible, damaged, corrupted or incomplete entries, incorrect or inaccurate capture of entries or entry information, loss of or damage to entries or entry information, or any other human or technical errors of any kind relating to the operation of the Sweepstakes, communications or attempted communications with any Entrant, the submission, collection, storage or processing of entries or the administration of the Sweepstakes. The Released Parties are not responsible for, and will have no liability for, undeliverable entries resulting from any form of active or passive filtering by a user'’ Internet service provider and/or e-mail client or for insufficient space in user's e-mail account to receive e-mail. The Released Parties are not responsible for, and will have no liability for, any damage to any computer or computer system resulting from participation in or accessing or downloading information in connection with this promotion. Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend all or part of this Sweepstakes should a virus, bug, technical failure or problem, entrant fraud or misconduct or other cause(s) beyond the reasonable control of Sponsor, in Sponsor’s determination, corrupt the administration, integrity, security or proper operation of the Sweepstakes. Entrants agree to hold Instagram and its parents, subsidiaries and affiliates harmless from any liability, loss, litigation, claim, or damage that may occur, directly or indirectly from participation in the sweepstakes.

RELEASE: As a condition of participating, except where prohibited by law, Entrants agree (and agree to confirm in writing if requested), to the extent permitted by law: (a) to release the Released Parties, as defined in Section 7 herein, from any and all liability, loss or damage incurred with respect to the awarding, receipt, possession, and/or use or misuse of any prize, including but not limited to any travel related thereto; (b) that under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, punitive, special, incidental and/or consequential, or any other damages, other than for actual out-of-pocket expenses and waives any and all rights to have damages multiplied or otherwise increased; (c) all causes of action arising out of or connected with this Sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ and court fees.

Binding Arbitration: Except where prohibited by law, as a condition of participating in this Sweepstakes, entrant agrees that (1) any and all disputes and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, shall be resolved exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest to the entrant; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. THE ARBITRATION OF DISPUTES PURSUANT TO THIS PARAGRAPH SHALL BE IN THE ENTRANT’S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED. DO NOT ENTER THIS SWEEPSTAKES IF YOU DO NOT AGREE TO HAVE ANY CLAIM OR CONTROVERSY ARBITRATED IN ACCORDANCE WITH THESE OFFICIAL RULES.

BY PARTICIPATING IN THE SWEEPSTAKES, EACH ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY THROUGH BINDING ARBITRATION AS SET FORTH ABOVE, WITHOUT RESORT TO ANY FORM OF CLASS ACTION. GOVERNING LAW & JURISDICTION: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, the rights and obligations of the Entrant and Sponsor in connection with the Sweepstakes, or the conduct of the Sweepstakes shall be governed by, and construed in accordance with, the laws of the State of New York, U.S.A., without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York, U.S.A. Any matters or proceedings which are not subject to arbitration as set forth in Section 9 of these Official Rules and/or for entering any judgment on an arbitration award, shall take place in New York City, New York, U.S.A. with respect to any legal proceedings or disputes of whatever nature arising out of these Official Rules.

MISCELLANEOUS: If at any time any provision of these rules is or becomes illegal, invalid or unenforceable in any respect under the law of any jurisdiction, this shall not affect or impair the legality, validity or enforceability in that jurisdiction of any other provision of these rules; or the legality, validity or enforceability under the law of any other jurisdiction of that or any other provision of these rules.
